2. Client Responsibilities:
a. The client agrees to provide accurate and complete information necessary for the provision of services.
b. The client is responsible for providing timely feedback, approvals, and any required resources or access needed for the successful completion of the services.
3. Intellectual Property:
a. All intellectual property rights, including copyrights, trademarks, and any other proprietary rights, relating to the services and deliverables, will remain with Zinity Tech or its licensors.
b. The client may use the deliverables solely for internal business purposes and may not reproduce, distribute, or modify them without our prior written consent.
4. Confidentiality:
a. Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the provision of services.
b. Confidential information includes, but is not limited to, trade secrets, business plans, financial information, and any other non-public information designated as confidential.
c. Confidential information shall not be disclosed to any third party without the written consent of the disclosing party, unless required by law.
5. Payment and Billing:
a. The client agrees to pay the fees as outlined in the service agreement or statement of work.
b. Payment terms, including invoicing schedules and accepted payment methods, will be agreed upon in the service agreement.
c. Late payment may result in penalties or suspension of services until payment is received.
6. Limitation of Liability:
a. We strive to provide high-quality services; however, we do not guarantee that our services will be error-free or uninterrupted.
b. In no event shall Zinity Tech be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the services provided.
7. Termination:
a. Either party may terminate the service agreement by providing written notice to the other party.
b. Termination may be subject to certain conditions and obligations, including the payment of outstanding fees for services provided.
8. Governing Law and Jurisdiction:
These Terms shall be governed by and construed in accordance with the laws of [jurisdiction]. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in [jurisdiction].
9. Amendments:
